For all individual customer, including those who are representing a party or corporations, please read the terms and conditions (the “Terms of Service”) set forth below as they apply to your access and use of our services, including our website and various social media platforms, APIs, email notifications, applications, buttons, and widgets and/or purchasing a Product from us (each a “Service” and collectively “Services”), and any information, text, graphics, photos, or other materials uploaded, downloaded, or appearing on the Services (collectively referred to as “Content”). Your access to and use of the Services, including purchasing a product from us, signifies your acceptance of these Terms of Service and agreement to be bound by them and any and all other applicable terms referenced herein absolutely.

As part of providing you the Services, we may need to provide you with certain communications, such as service announcements and administrative messages. These communications are considered part of the Services and your SOULISTIC Account and which you may not be able to opt-out from receiving.

The Services are provided and operated by Soulistic Co. Limited (trading as "SOULISTIC") ("we" or “SOULISTIC”). We are a limited liability company registered in Hong Kong with registered number 70624032-000-04-19-3 and have our registered office at A8 & A10, 2/F, Block A, Tonic Industrial Centre, 26 Kai Cheung Road, Kowloon Bay, Hong Kong.


 
4. 更改條款須知 CHANGE OF TERMS

SOULISTIC 保留更改、終止及不時修改有關條款及細則之權利。如有任何更改,恕不另行通知。如有任何爭議,SOULISTIC 將保留最後的決定權。SOULISTIC 建議您於使用我們服務或下單訂購我們商品時先細閱本頁服務條款。 當您同意使用任何本站服務或下單訂購時,即表示您絕對同意您下單日期以前的一切條款更改及遵守本服務條款的規定事項及所有其他適用條款的約束。

By continuing to use the Services following such amendments to the Terms of Service, you agree to be bound by such amendments.

We will not be liable to you if for any reason our Services are unavailable at any time or for any period.

You are responsible for making all arrangements necessary for you to have access to our Services.

7. 訂立合同 FORMATION OF A CONTRACT

The information set out in these Terms of Service and any of the Services do not constitute an offer for sale but rather an invitation to treat. All orders submitted by you through our site shall be deemed to be an offer made by you to purchase the selected Products set out in your order upon these Terms of Service (an “Order”). No binding agreement for us to sell you any Product is made until we accept an Order in accordance with these Terms of Service.

Where an Order is refused or cancelled by SOULISTIC, we will reverse or refund any payment already made for such Order in accordance with our prevailing refund policy at such time.

7.4 任何有關食養諮詢, SOULISTIC僅在將訂單運送到您提供的地址後,才會視為接受該訂單。任何有關網上產品訂購,當 訂購費用由付款一方成功轉入SOULISTIC收費平台起,即代表SOULISTIC 接受訂單訂單。有關活動到會和/ 或個別私人活動付款安排,將會個別合約安排。
For catering/ private dining/ food consultation service, an Order is only considered accepted by SOULISTIC upon the Order being shipped/ delivery to the address provided by you. For food product purchasing, an Order is considered accepted by SOULISTIC upon the payment is received from the paid via our payment channels. For catering / private event payment details, specific payment details to be discussed individually with clients.



8. 有關產品資料、價格及付款 PRODUCT INFORMATION, PRICE, AND PAYMENT

Whilst SOULISTIC makes best efforts to provide you with accurate and up-to-date images, details, descriptions, prices, and promotional information, there may be instances where errors and differences may occur. We cannot guarantee that your electronic display of any Product colour or image will be accurate. SOULISTIC shall not be liable for any errors or differences in the images, details, descriptions, prices, and promotional information listed through our Services.

SOULISTIC is under no obligation to fulfil an Order if the price listed on our website is incorrect (even after an Order Confirmation has been sent by us). If we discover an error in the price of any Products which you have ordered, we will inform you via email and give you the option of reconfirming your Order for such Product at the correct price or cancelling it. By confirming your Order for such Product, you authorise us to charge the additional amounts to you. If we are unable to contact you, we will treat the Order for such Product as cancelled. If you cancel your Order for such Product, we will refund payment in accordance with our prevailing refund policy at such time.

8.3 在適用的情況下,價格已包含稅,並以港元計。
Where applicable, prices are inclusive of tax and are in Hong Kong Dollars.

Where applicable, such as catering, private dinner events, delivery fees will be charged in addition to the price of the Product. Such charges will be displayed and included in the final total when you submit your Order. For product order from our online store, we can arrange courier service for you. However, this cost is not included in the price on our website. You will have to pay the courier fee in cash to the driver upon receiving the delivery. We do not take any responsibility and are not liable for any damage of the products caused during delivery.

8.5 
訂購滿港幣$600元可免費送貨。訂購低於港幣$600元, 每張訂單之運費可參考以下收費表。我們會於每個星期以下日子及時間於香港各地作送遞服務:逢星期二及五 12pm - 7pm

*本店規模尚小,希望在能力範圍內為你提供最大的方便,在方便你和平衡運費成本的情況下,我們在安排有機會調動你的送遞時間,並會預先和你確認並先收取運費。如送遞地址需要更改,請於 48小前通知,否則我們會收取行政費用。確認地址後的運費恕不設退款。

我們於出發前會先通知你,為確保運送過程流暢,請確保您下單時所填寫的聯絡資料正確無誤。如我們的產品在以上任何運送過程中有任何損毁,本店恕不負責或退款。
    Free delivery within Hong Kong Island and Kowloon for HK$ 600 or above purchase within one order.
    For purchase below HK$ 600,please refer to the price list above. Here is our weekly delivery schedule: Every Tuesday & Friday 12pm - 7pm
    *We are still a startup business. While we are trying our best to accommodate your requests, we also need to take into account our courier cost. Hence, we might make adjustments to your delivery schedule and will be sure to get a confirmation from you first. We will then send you the instruction to pay for delivery fee. If you would like to change the delivery address, please let us know 48 hours in advance or additional charges may be applied. No refunds can be made upon confirming the delivery address.
    We do not take any responsibility and are not liable for any damage of the products caused during delivery.

    We accept payment for Orders by the following payment methods: credit cards, including Visa, Mastercard, PayMe, FPS and bank deposit.

    By placing your Order, you authorise us to transmit information to or obtain information about you from third parties from time to time and this may include requesting pre-authorisation on your card to ensure there are sufficient funds available to complete the transaction, authentication of your identity, validation checks on your credit card by the issuer, protection against fraud and to enable delivery of your Order. By placing your Order, you are confirming that the card belongs to you or that you are the legitimate holder of the Promotional Voucher, and have sufficient funds or credit facilities to cover the cost of the Order.
    9. 促銷和優惠券 PROMOTIONS AND VOUCHERS

    SOULISTIC may from time to time run promotions, or other promotional programmes (a “Programme”) that are subject to additional terms and conditions which are hereby incorporated by reference into these Terms of Service and can be found on our site, as well as our official social media platforms at applicable time.

    9.2 
    SOULISTIC may from time to time make available vouchers, codes, coupons, credits, or gift vouchers (a “Promotional Voucher”). A Promotional Voucher may be subject to additional terms and conditions which are hereby incorporated by reference into these Terms of Service and can be found either on the Promotional Voucher or on our site at such applicable time.

    9.3 每個計劃和促銷憑證在SOULISTIC指定的時間段內有效。
    Each Programme and Promotional Voucher is valid for the time period specified by SOULISTIC.


    9.4 除非SOULISTIC另行聲明或明確同意,否則每張促銷優惠券僅可單次使用,亦不能與任何其他計劃或促銷優惠券一起使用。
    Each Promotional Voucher is only eligible for single use and cannot be used in conjunction with any other Programme or Promotional Voucher unless otherwise stated or explicitly agreed to by SOULISTIC

    9.5 
    有關促銷優惠劵:
    (a) 不能退款,兌換或兌換現金;
    (b) 如果丟失,被盜,破壞,重複,篡改或以其他方式挪用,則不可更換;
    (c) 除您可以購買並贈送給他人的禮券外,不能轉售,轉讓或共享;
    (d) 不得複制,改編,更改或以其他在未經SOULISTIC同意前擅自篡改;
    (e) 如果我們懷疑單憑此促銷優惠券被用於違反本服務條款的情況下,SOULISTIC有權宣布該聲明無效。

    A Promotional Voucher:
    (a) cannot be refunded, redeemed, or exchanged for cash; 
    (b) is non-replaceable if lost, stolen, destroyed, duplicated, tampered with, or otherwise misappropriated;
    (c) cannot be resold, transferred, or shared, except for a gift voucher which may be purchased by you and given to others;
    (d) cannot be reproduced, adapted, altered, or otherwise tampered with;
    (e) will be declared null and void by SOULISTIC where, in our sole discretion, such Promotional Voucher is suspected to have been used in breach of these Terms of Service.

    9.6 SOULISTIC對於每個計劃或促銷優惠劵均有最終決定權,並具有約束力。
    SOULISTIC’s decision on all matters relating to each Programme or Promotional Voucher is final and binding.

    9.7 SOULISTIC保留自行決定隨時終止任何計劃或促銷券計劃的權利,恕不另行通知或承擔責任。
    SOULISTIC reserves the right to discontinue any Programme or Promotional Voucher programme at any time, in our sole discretion, without notice or liability.



    10. 有關拒絕訂單 REFUSAL OF ORDER

Whilst SOULISTIC will make best efforts to process all Orders, there may be exceptional circumstances where we need to refuse to process an Order after an Order Confirmation has been sent by us, which we reserve the right to do at our sole discretion.

    If we refuse or cancel your Order for any reason and you have already made payment for your Order, we will refund payment in accordance with our prevailing refund policy at such time.

    Additional cost will be implied for delivery request, pending on location and the weight of the order.

    11.2 我們的一般按照我們的送貨路線,盡量於在您的訂單確認中指定的交貨時間、按照您的訂單中指定的交貨地點向您交付產品。
    We will aim to deliver the Product to you at the place of delivery specified in your Order at the delivery time indicated by us in your Order confirmation according to our delivery route.

    11.3 我們將盡最大努力在建議的交貨時間交貨,但不能也不保證交貨時間將得到滿足,在法律允許的範圍內,SOULISTIC對您或任何第三方不承擔任何損失的責任, 因延遲交付而產生的責任,成本,損害,收費或費用。
    We will make best efforts to deliver the Products at the proposed delivery time but cannot and do not guarantee that delivery times will be met and, to the extent permitted by law, SOULISTIC shall not be liable to you or any third party for any losses, liabilities, costs, damages, charges, or expenses arising out of late delivery.

    11.4  交付產品時,送遞公司 可能需要您的簽名才能接受交付。 如果您在嘗試交付時仍無法簽署產品,我們可能會留下一張帶有說明和條款的卡,以供重新交付或領取。
    Your signature may be required to accept delivery. If you are not available to sign for the Product upon an attempt of delivery, we may leave a card with instructions and terms, hereby incorporated by reference, for either re-delivery or collection.

    There may be locations that we are unable to deliver to, in which case we will inform you using the contact details provided by you when submitting your Order and arrange for an alternative delivery method or cancellation of your Order.



    12. 退貨政策 RETURN POLICY

    No cancellation or refund would be accepted once the order is confirmed.

    13. 退款政策 REFUND POLICY

    Where SOULISTIC determines that a refund is to be made under these Terms of Service, payment will be reversed or refunded via the same method that payment was originally made. In the event a reversal cannot be done, we will contact you via the contact details provided when you submit your order to determine an agreed refund method.



    14. 您使用本店服務和責任 YOUR LICENSE TO USE THE SERVICES

    SOULISTIC gives you a personal, worldwide, royalty-free, non-assignable, and non-exclusive licence to use the software that is provided to you by us as part of the Services. This licence is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by SOULISTIC in the manner permitted by these Terms of Service.



    15. 知識財產權的保護 OUR INTELLECTUAL PROPERTY RIGHTS

All rights under applicable laws are hereby reserved. You agree not to upload, post, publish, reproduce, transmit, or distribute in any way any component of the website itself, the Content, or any access to any Service, or create derivative works with respect thereto, except with the prior written consent of SOULISTIC or unless expressly permitted in these Terms of Service. The website, Content, and Services are copyrighted under applicable laws.

You hereby waive and agree to waive all and any rights and claims for any consideration, fees, royalties, charges, and/or other payments in relation to our use, disclosure, adoption, and/or modification of any or all of your Feedback. For exceptions, please refer to Section 15.3.

    15.3  豁免於15.2條款包括:
    (a) 所有 SOULISTIC 食養諮詢;
    (b)  所有 SOULISTIC 負責的私人活動、晚宴。
    除非有關客人書面同意,以上活動均會保密。

    The following events will be exempted from Section 15.3:
    (a) All food consultations conducted by Soulistic;
    (b) All private dinner events and/ or catering events.
    Unless given a written consent by the client himself, all comments and details are kept strictly confidential by Soulistic.



    16. 有限責任和保證 LIMITED LIABILITY AND WARRANTY

Some jurisdictions do not allow the disclaimer of implied warranties or the limitation of liability in contracts and, as a result, the contents of this section may not apply to you.     Where the buyer is dealing as a consumer (as defined in the Sale of Good Ordinance (CAP 26) Section 2A and/ or the Control of the Exemption Clauses Ordinance (CAP 71) Section 4), all other warranties, conditions, or terms relating to fitness for purpose, quality, or condition of the goods, whether express or implied by statute or common law or otherwise, are excluded to the fullest extent permitted by law.

    The entire liability of the Soulistic Entities and your exclusive remedy with respect to the products and/ or services or otherwise, is re-performance or defective services. In jurisdictions which do not allow the exclusion or limitation of certain types of liability, our liability will be limited to the maximum extent permitted by law. We do not endorse, warrant, or guarantee any material, product, or service offered through us or our services. We are not and will not be a party to any transaction between you and any third party.

    In no event shall the aggregate liability of the SOULISTIC entities exceed one thousand Hong Kong Dollar (HKD 1,000).

    16.5 SOULISTIC 集團不保證或承擔以下任何責任:

    The Soulistic Entities shall not guarantee or assume any responsibility that: 
    (a) the information presented in our Services is accurate, adequate, current, or reliable, or may be used for any purpose other than for general reference;
    (b) the information presented in our Services is free of defect, error, omission, virus, or anything which may change, erase, add to, or damage your software, data or equipment; 
    (c) messages sent through the internet including in connection with the services will be free from interception, corruption, error, delay, or loss;
    (d) access to the Services will be available or be uninterrupted;
    (e) use of the Products and/or Services will achieve any particular result; or 
    (f) defects in the Services will be corrected.

    Without limiting the generality of the foregoing, in no event will the Soulistic Entities be liable to you or any other person for any direct, indirect, incidental, special, punitive, or consequential loss or damages, including any loss of business or profit, arising out of any use, or inability to use, the information or the Products and/or Services, even if any of the Soulistic Entities has been advised of the possibility of such loss or damages.

No such lack of response shall be deemed to constitute any acquiescence or waiver.

    You hereby indemnify Soulistic against all liabilities, costs, expenses, damages, and losses (including any direct, indirect, or consequential losses, loss of profit, loss of reputation, and all interest, penalties, and legal and other professional costs and expenses) suffered or incurred by Soulistic in connection with any claim made against Soulistic for actual or alleged infringement of a third party's intellectual property rights arising out of or in connection with your use of the Products and/or Services. This clause shall survive termination of the Terms of Service.

    Soulistic respects the intellectual property rights of others and expects users of the Services to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. If you believe that your Content has been copied in a way that constitutes copyright infringement, please provide us with the following information: 
    (i) a physical or electronic signature of the copyright owner or a person authorised to act on their behalf;
    (ii) identification of the copyrighted work claimed to have been infringed;
    (iii) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
    (iv) your contact information, including your address, your telephone number, and an email address;
    (v) a statement by you that you have a good faith belief that use of the material in the manner complained of is not authorised by the copyright owner, its agent, or the law; and
    (vi) a statement that the information in the notification is accurate and that you are authorised to act on behalf of the copyright owner.

    (i) satisfy any applicable law, regulation, legal process, or governmental request,
    (ii) enforce the Terms of Service, including investigation of potential violations hereof, 
    (iii) detect, prevent, or otherwise address fraud, security, or technical issues,
    (iv) respond to user support requests, or
    (v) protect the rights, property, or safety of Soulistic, its users, and the public.

    (iii) access or search or attempt to access or search the Services by any means (automated or otherwise) other than through our currently available, published interfaces that are provided by us (and only pursuant to those terms and conditions), (scraping the Services without our prior consent is expressly prohibited); 
    (iv) forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Services to send altered, deceptive, or false source- identifying information; or 
    (v) interfere with, or disrupt, (or attempt to do so), the access of any user, host, or network, including, without limitation, sending a virus, trojan, worm, logic bomb, or other material which is malicious or technologically harmful, overloading, flooding, spamming, mail-bombing the Services, or scripting the creation of Content in such a manner as to interfere with or create an undue burden on the Services.

No settlement which may adversely affect our rights or obligations shall be made without our prior written approval. We reserve the right, at our own expense and on notice to you, to assume exclusive defence and control of any claim or action.



    21. 不可抗力條款 FORCE MAJEURE

    No party shall be in breach of these Terms of Service nor liable for delay in performing, or failure to perform, any of its obligations under these Terms of Service if such delay or failure result from events, circumstances, or causes beyond its reasonable control. In such circumstances, the affected party shall be entitled to a reasonable extension of the time for performing such obligations.

    21.2 受影響方應盡一切合理努力減輕不可抗力事件對其履行義務的影響。
    The affected party shall use all reasonable endeavours to mitigate the effect of a force majeure event on the performance of its obligations.

    A force majeure event shall include such events as an act of God, fire, flood, typhoon, storm, war, riot, civil unrest, act of terrorism, strikes, industrial disputes, outbreak of epidemic or pandemic illness, failure of utility service or transportation, request from a government, or interference from civil or military authorities.


    22. 適用法律 GOVERNING LAW AND JURISDICTION 

    本使用條款根據中華人民共和國香港特別行政區(“香港」)法律解釋,且受香港法律管轄。閣下同意將安安飲食集團與閣下之任何糾紛、爭議或索談交由香港法庭審理。
    These Terms of Service shall be governed by the laws of the Hong Kong Special Administrative Region. You agree to submit to the exclusive jurisdiction of the Hong Kong courts.


    23. 語言 LANGUAGE

    如本服務條款的中、英文本出現分歧,以英文文本為準。
    In case of discrepancies between the English version and any other language versions of these Terms of Service and contents of this site, the English version shall prevail.
